Board of Directors Position Description

Background

Oregon Literacy, Inc. is a statewide nonprofit organization, governed by its Board of Directors. Oregon Literacy's mission is to increase the capacity and effectiveness of adult literacy services through partnerships with community-based programs across the state. To meet this mission, Oregon Literacy works with 30 volunteer literacy programs across Oregon. All Board Members are volunteers for the organization, and are compensated only for expenses incurred.

Overview of Duties

The Board of Directors is charged with ensuring the health and stability of the organization. The three major areas of focus are:

Management:
Ensuring the proper governance of the organization, including legal, personnel, and financial requirements. A major management duty is supervision of the Executive Director, including an annual performance review.

Promotion:
Promoting the mission of Oregon Literacy and furthering the awareness of Oregon Literacy as an organization. Promotion includes the creation and execution of programs that meet Oregon Literacy's mission.

Support:
Board Members support Oregon Literacy by making direct contributions, soliciting donations from the community [corporations, foundations, and individuals], and setting the fundraising strategy for the organization

Commitments

Time:
The Board meets the second Monday of every month for 2 hours. These meetings are required. Each year there are some additional expectations of board members, such as attending a charity auction, or assisting with the annual appeal mailing. In addition, each board member is expected to offer volunteer time throughout the year in their area of expertise. Suggested minimum time commitment is between 35-50 hours each year.

Financial:
One of the major duties of the Board of Directors is to ensure the financial stability of the organization. In keeping with this charge, and with the expectations of community funders, each board member is expected to be a donor of the organization. Oregon Literacy does not set a minimum amount for this donation, expecting only that it is a significant donation based on the Board Member's ability to give.

Expertise:
Board Members are recruited for their skills, which typically fall into one of the major areas of focus. These skills are called upon as necessary to supplement Oregon Literacy's staff.
